Terms of Service

These Terms of Service ("Terms") govern your access to and use of Parley (the "Service"), operated by Amukin Design & Advisory ("Amukin," "we," "us," or "our"), available at parley.amukin.com. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Parley is a platform that lets you bring multiple AI models into a shared conversation ("Room") using your own API keys for third-party AI providers ("Bring Your Own Key," or BYOK). Parley relays your messages to the AI providers you connect; it does not itself generate AI responses.

2. Eligibility and Accounts

You must be at least 16 years old to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information when creating an account.

3. Your API Keys and Third-Party Providers

• You are solely responsible for obtaining and maintaining valid API keys with third-party AI providers (e.g. OpenAI, Anthropic, Google, xAI, Mistral, Qwen, SEA-LION, Cohere, or PLaMo), and for any usage fees those providers charge you directly. Parley does not charge you for AI usage; that is billed to you separately by the provider under your own account with them.
• You must comply with each connected provider's own terms of service and usage policies. Parley is not responsible for a provider suspending, rate-limiting, or terminating your API access.
• We encrypt your API keys at rest and use them solely to relay requests you initiate to the corresponding provider. We do not use your API keys for any other purpose.

4. Subscription Plans and Billing

• Certain features require a paid subscription (Pro plan). Subscription fees are billed in advance on a recurring basis through Stripe.
• You can cancel your subscription at any time from the Billing page; cancellation takes effect at the end of the current billing period, and we do not provide prorated refunds for the remainder of a billing period, except where required by law.
• We may change subscription pricing with advance notice; continued use after a price change takes effect constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or the rights of any third party
• Upload or transmit content that is unlawful, infringing, defamatory, or that you do not have the right to share
• Attempt to gain unauthorized access to the Service, other users' accounts, or our infrastructure
• Use the Service to generate content that violates a connected AI provider's own usage policies
• Reverse-engineer, scrape, or interfere with the normal operation of the Service

We may suspend or terminate accounts that violate this section.

6. Content and Ownership

You retain ownership of the content you create in the Service (your messages, Room content, documents, and notes). By using the Service, you grant Amukin a limited license to store, process, and transmit that content solely as necessary to provide the Service to you (including relaying it to your connected AI providers).

Output generated by AI models within a Room is provided by the underlying AI provider, not by Amukin. We make no claim of ownership over AI-generated output, and we make no representation about its accuracy, completeness, or fitness for any purpose.

7. AI Output Disclaimer

AI Participants in a Room may produce inaccurate, incomplete, or misleading output ("hallucinations"). You are solely responsible for evaluating and verifying any AI-generated content before relying on it for any decision, especially decisions with legal, financial, medical, or safety implications. Parley does not review, endorse, or guarantee any AI-generated output.

8. Service Availability

We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practical.

9. Termination

You may stop using the Service and delete your account at any time from the Account page. We may suspend or terminate your access if you violate these Terms, or if required to comply with law. Upon termination, Sections 6 (as to already-transmitted data), 7, 10, and 11 survive.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AMUKIN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE OR ANY AI-GENERATED OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT AMUKIN IS FOUND LIABLE NOTWITHSTANDING THE FOREGOING, AMUKIN'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO AMUKIN IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) JPY 5,000. Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify you within the app. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
